Rosanne Meo was appointed Chairman of Briscoe Group Limited in May 2001. She is also Chairman of the Auckland Philharmonia Orchestra, The Real Estate Institute and AMP Services (NZ) Limited. She is a director of Overland Footwear Limited and a Trustee of the Kelliher Trust and the South Auckland Health Foundation.

Rodney Adrian Duke: Group Managing Director and Deputy Chairman
Rod Duke has spent all his working life in the retail sector. After leaving
school in Adelaide, he commenced work with retailers in South Australia before
moving to Waltons Ltd in Sydney in 1980. From 1981 to 1988 he held the
positions of New South Wales Manager of Homecraft/Eric Anderson Stores, a
Senior Merchandise Executive for Grace Brothers then Managing Director of
Norman Ross Ltd. In September 1988, Rod accepted the position of Managing
Director of Briscoes (New Zealand) Limited, at that time a subsidiary of
Hagemeyer of the Netherlands, with a mandate of returning the company to
profitability and preparing it for sale. In January 1990, Rod reached agreement
for the RA Duke Trust to purchase 100% of the shares of Briscoes and he has
continued to be the Group’s Managing Director. In 1996 Rod established,
and in subsequent years expanded, the Rebel Sport chain of sporting goods
stores in New Zealand as a business within the Briscoe Group.

Alaister John Wall:
Deputy Managing Director
Alaister joined Briscoes (New Zealand) Limited in 1970. During his 33 years
with the Group, he held a variety of accounting and administration positions
before being appointed Group Accountant in 1981, then Finance Director and
Company Secretary in 1987. Since 1987 Alaister has managed the legal, financial
accounting and financing functions of the Group, including the expansion of the
network of Briscoes stores, the establishment and development of Rebel Sport
into the New Zealand market and the restructure of the Group in preparation for
the public Share offer.

Stuart Hamilton Johnstone:
Director (Non-Executive)

Investment Banker
Stuart Johnstone was appointed as a non-executive Director of Briscoe Group Limited in May 2001. Stuart has a background in life office investment management and investment banking, including periods as a principal of Buttle Wilson sharebrokers, and as a member of the Fay Richwhite investment banking team that managed the initial public offer of shares by Telecom. He has held directorships in a variety of companies over the last 25 years, and continues to provide investment banking and financial advisory services to corporate clients. In addition Stuart is a musician and is a joint owner-operator of website development business The Design Web.

Board Composition in Future
Briscoe Group’s constitution from the time of listing will provide for a
maximum of five Directors on the Company’s Board. The present Directors
anticipate that over time the number of Directors and composition of the Board
will be altered as appropriate to maintain the best possible Board for the
nature of the activities of the Company and for the pursuit of optimal
corporate performance.

Geoffrey Peter Scowcroft

Chief Financial Officer
Geoff began his career in finance with an accounting role with Associated
Wholesalers Ltd. After completing a B.Com degree at Auckland University he then
spent 15 years with the major food retailing group Woolworths (NZ) Ltd. His
last position there was as Financial Controller where he was responsible for
all Finance functions including Company Secretary and Treasury duties.
Geoff joined Briscoes as Chief Financial Officer in October 2002 with
responsibility for Finance, IT and Administration.

Peter William Burilin

Chief Operating Officer, Briscoes Group
Peter began his retail career as a graduate trainee with Gateway Foodmarkets
(now Somerfield) in England. Over the next 13 years he obtained experience in
store operations, buying, marketing, concept development and change management
before being promoted to senior operational management positions with
responsibilities for 630 stores. When Peter left the UK in 1996, he was
Managing Director of the group’s large format discount chain, FoodGiant.
Upon arriving in New Zealand Peter was appointed General Manager Operations for
Levene & Co. Limited before moving to Progressive Enterprises as Marketing
Manager. Peter joined Rebel Sport New Zealand in November 1998 as General
Manager, before becoming General Manager of Briscoes in February 2003.

Fraser Collins
General Manager Merchandise: Briscoe Group
Fraser Collins began his retail career in 1976 for Haywrights Ltd in
Christchurch. He held a number of positions within this group, before joining
Briscoes as the Manager of Christchurchs' two stores in 1984. This role gave
him a great insight into the Briscoe's culture, and provided the base for his
subsequent career within the company. Four years later he was appointed Project
Manager, where he was responsible for opening all Briscoes stores until 1999.
During this time, he also held the position of South Island Operations Manager
and National Operations Manager. Fraser was appointed to the position of General Manager of Briscoes in 2004 and General Manager of Merchandise in August 2008.

Craig Robertson
General Manager Operations: Briscoe Group
Craig Robertson is a professional retailer with a career spanning in excess of 30 years. Starting at the grass roots on the shop floor he gained the necessary skills to move into Branch and Regional Management ahead of being appointed General Manager Operations for the Noel Leeming Group. After a successful term in this role Craig headed up the New Zealand division of a New Zealand Owned Mystery Shopping Organisation. In 2004 he was appointed to a Senior Management role within Telecom as Head of Telecom Retail stores. There he was a key player in enhancing the overall product and service offering by re-designing the Telecom consumer store network in conjunction with significantly enhancing capability and function. During this period he also completed his Diploma in Business Administration. After accepting a role with NZ Post as the Head of Sales & Service with responsibilities for the Corporate and Franchise Network and immediately prior to joining the Briscoe Group in April 2011 Craig gained experience in the apparel and promotional industry alongside holding a Directorship in his own business. |

Other Employees
Rebel Sport employs approximately 615 permanent full time and permanent part time staff, 17 of which are employed at their Head Office in Auckland.
In peak periods the company employ staff on a fixed term basis and this number can increase to around 704.
Rebel Sport stores employ generally between 25 and 35 permanent staff each.
Briscoes Homeware (includes Living & Giving) employs approximately 1074 permanent full time and permanent part time staff, 25 of which are employed at their Head Office in Auckland.
In peak periods the company employ staff on a fixed term basis and this number can increase to around 1298.
Briscoes Homeware stores employ generally between 15 and 25 at the smaller branches and between 25 and 40 at the larger branches.
Briscoe Group has 72 employees, providing management, finance and administration, information technology and other support functions.
